Biden for President - Creator Advocate Program Terms

Thanks for signing up to participate with Village Marketing Agency LLC (“Village”) and Biden for President (“BFP”), to bring together a passionate community of courageous and socially-savvy creators who want to use their voice on social media to help reelect President Biden and Vice President Harris in 2024 (the “Program”)! We’d like to invite you to potentially create and post original content specifically created by you (“Content”). Please note that all Content creation is entirely optional and uncompensated volunteer activity. We’ve included some additional details in the Creative Brief about what we’re looking for in Content. Here’s what this collaboration involves:

Your post will follow the Creative Brief and the editorial process set out in the Brief.
Unless otherwise approved by us, you won’t wear any clothes, or include any items in your post (including background) bearing any commercial marks/branding, items of a religious nature, or which in our reasonable opinion reflect unfavorably on the content, us, and/or BFP.
We have the right at any time to suspend or terminate this agreement and remove you from the Program for any reason or no reason.
You agree to immediately edit or remove any Content upon Village’s and/or BFP’s request.
You agree not to engage in any activities or publish Content that may disparage or harm the reputation of BFP, or that is reasonably likely to insult or offend any community or substantial group thereof.

Your post will tag @teamvotejoe and include #teamvotejoe on Instagram.

You’ll post before November 30, 2024 and leave the post up for at least 24 hours.

You’ll make sure that you are allowed to use everything in your post. For example, you’ll only include other people or music in your post if you have the express right or permission to do so. Also make sure anything you say in your post is true and not offensive.

All terms and details of this collaboration are strictly confidential and may not be disclosed to any third party without prior written consent from Village or BFP.

You’re over the age of 18 and have the full right to enter into this agreement and grant the rights herein granted without the approval of any third party(ies).
You understand that this is a volunteer opportunity for content creators to help BFP, and that you will not receive compensation.
Any production costs associated with the Content will constitute an in-kind contribution to BFP, are subject to campaign finance contribution limits, and must be pre-approved by BFP. Pre-production, production, and post-production services provided by individuals in a volunteer capacity do not count as production costs, nor do shoots with equipment borrowed from individuals at no cost and/or featuring volunteers. Because of federal campaign finance restrictions, you may not use corporate resources for the videos, or require any of your corporate employees to assist with creating the Content. You must complete an in-kind contribution form documenting any such in-kind contributions.
In addition to your posting the Content on your own accounts, you agree to provide the Content to BFP for use in BFP’s own paid or organic communications.
Federal campaign finance statutes and regulations prohibit BFP from coordinating its activities with third parties making independent public communications in the 2024 presidential election, including by sharing nonpublic information regarding BFP’s plans, projects, activities, or needs with such parties, either directly or through intermediaries. As such, you agree that (1) you have not and will not receive any such nonpublic information from BFP; (2) you will seek prior approval from BFP before providing services to any third party that involve paid communications referencing any candidate for president, regardless of political party; and (3) you have not been not granted any authority, either express or implied, to act as an agent on behalf of BFP, including with regard to any communications or expenditures made by a third party.

Consent and Release

By signing up to participate, I grant Biden for President (“BFP”) (and its successors, assigns, and licensees) a royalty-free, worldwide, perpetual, irrevocable, exclusive license to use, reproduce, distribute, modify, adapt, and publicly display any recordings, designs, text, graphics, pictures, information, data, video, sound files, other files or materials (including my name and likeness and/or representations thereof), or any portion thereof, provided by me to BFP (collectively, the “Materials”), in any and all manner and media and for any purpose (including but not limited to advertising and promotional purposes) without compensation.

I represent and warrant that I have the right to grant such license, and that the Materials do not infringe upon or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights of others, or any right or duty under any law or contractual/fiduciary relationship (such as any inside information, proprietary and confidential information learned or disclosed as part of an employment relationship or under a nondisclosure agreement).

I agree that all such Materials shall be the sole property of BFP, and I hereby release BFP, and its successors, assigns and licenses, from any and all liability or claims in connection with such usage (including, without limitation, any claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory, however caused. I also waive any right to inspect and/or approve the original or modified Materials and/or any use for which the Materials may be employed. I understand that BFP reserves the right to use or not use the Materials in its sole discretion, including sharing the Materials with affiliated committees of BFP and/or Democratic Party committees for its and their use.
